Corporate Counsel

CRG is seeking a Corporate Counsel to direct all day-to-day legal functions for the company in our Carmel, Indiana office, with a primary emphasis on taking the lead legal role with respect to our multifamily real estate development projects and documenting CRG's joint venture relationships. ​This role is responsible for managing and executing all legal aspects of multifamily development projects from the initial letter of intent through construction financing, stabilization, and ultimately a permanent debt placement or sale. The Corporate Counsel will also oversee CRG's general corporate legal needs, including entity governance, contract negotiations, and assistance with risk management functions.

This individual can expect to work closely with the development, capital, asset management, and executive teams to support CRG's growing pipeline and will service as the company's primary in-house legal resource.

Primary Responsibilities

1. Development and Transactional Legal Management

  • Lead and manage all legal aspects of multifamily real estate development projects.
  • Review, draft, and negotiate: letters of intent and purchase and sale agreements for both the acquisition of development sites and the disposition of stabilized projects; easements, covenants, and other land-use documents; development-oriented agreements, including declarations and incentive agreements related to public-private partnerships; and construction contracts (AIA and custom forms) and subcontractor agreements as necessary.
  • Oversee the due diligence process including title and survey review.​
  • Manage all legal processes associated with construction financing, including negotiation of term sheets, loan agreements, guaranties, collateral loan documents, and closing checklists.
  • Quarterback transaction execution, coordinating with internal development, construction, asset management, and finance teams to ensure timely and successful project closings.​

2. Joint Venture and Capital Structuring

  • Assist in negotiating and lead the drafting of joint venture agreements, operating agreements, and investor-side documentation with CRG's equity partners, including private placement memorandums and subscription agreements.​
  • Work closely with the capital markets team to structure deals, align partnerships, and manage governance and decision-making rights.
  • Oversee entity structuring and formation for development projects and investment platforms.

3. Corporate Legal Management

  • Manage CRG’s legal matters, including general corporate matters, contract review, regulatory compliance, risk mitigation, and occasional dispute resolution, keeping up with changing legal trends that may impact CRG's business lines.
  • Maintain corporate governance for CRG and its subsidiaries, including entity record-keeping, maintenance, and documentation.
  • Draft and maintain internal policies, templates, and legal procedures to support growth and improve efficiency.
  • Serve as the primary liaison with outside counsel. ​

4. Strategic Advisor​

  • Provide proactive, business-oriented legal guidance across all development, construction, capital, asset management, and corporate functions and translate complex legal concepts into clear, actionable advice while appropriately balancing legal risk and against practical solutions to advance transactions and initiatives. ​
  • Develop a deep understanding of CRG's business and operations to proactively identify, recommend, and implement enhancements to legal processes, internal controls, and risk management practices. ​
  • Support executive leadership on special projects, strategic initiatives, and corporate matters as requested, with an eagerness to take initiative and work on a variety of legal tasks, even if outside prior experience. ​

Qualifications and Requirements

  • Juris Doctor (JD) from an accredited law school.
  • Licensed to practice law in Indiana or ability to obtain licensure promptly.​
  • Minimum of 2 years of experience in commercial real estate transactions, ideally with a focus on multifamily development and/or joint venture structuring, preferably within an in-house real estate legal department or a law firm real estate practice group.
  • Solid understanding of real estate development, construction financing, and complex organizational structures.
  • Strong working knowledge of commercial real estate practices, contracts, and legal processes.
  • The ability to uphold the highest standards of integrity, judgment, accountability, and confidentiality in all matters.
  • Highly organized with exceptional attention to detail.
